UK Limited Liability Company
Formation
Following incorporation of your
limited liability company Companies House send the incorporation
certificate to the new limited liability company's registered office and that
point the shareholders should be issued with the blank share certificates which
the directors of the limited company should complete by filling in the details
including the company registration number on those share certificates. The
incorporation certificate should be displayed at the limited companies
registered office. When opening a bank account for the new limited liability
company banks normally require sight of the incorporation certificate as a
limited liability company is in effect a new corporate person with the
incorporation certificate in effect being the limited liability company's birth
certificate.
Incorporation certificates
contain details of the new company name, incorporation number and date of
incorporation.

UK Limited Liability Company Formation
Companies House do not issue
share certificates when a limited liability company is formed. Issuing a share
certificate is the responsibility of the Company secretary which shows that each
of the shareholders are limited by shares when the company is formed. The share
certificates may be completed in handwriting, typeset or via electronic
means. The essential elements of a share certificate are the name of the
limited liability company, the serial number of the share certificate, name of
the registered holder, company registration number and full description of the shares to which the
share certificate relates. The share certificates should also state the date each
share certificate was issued.
The UK limited
company formation document pack includes a blank share certificate in word
format which you can copy and complete to produce as many share certificates as
required. The share certificate example is produced in a simple word processed
document so that larger private companies and public companies can alter and
customize the share certificate format for shareholders to the exact share
certificate desired.
The shareholder
share
certificates issued are entered in the shareholders register. In a request to
see the register of shareholders a company may request to see
the
requester's name and address, or if an organisation an individual's name, plus
the purpose of the request as well as who the information will be shared with.
The company limited by shares then has 5 days to either comply to allow the
register of shareholders to be seen or to apply to the court in order to verify
that this is for a proper and just purpose.
